Job Description

Role Overview

The individual will work closely with the CFO and Promoter Group to manage the IPO lifecycle, starting from readiness and structuring, through regulatory filings and investor engagement, to post-listing governance. This role offers the opportunity to directly influence the success of the companys public market debut and its long-term reputation with investors, regulators, and stakeholders. The individual will play a pivotal role in shaping governance standards and creating shareholder value as the company transitions into a listed entity.

Key Responsibilities

  • Take ownership of the entire IPO process and ensure timely, compliant, and effective execution.
  • Develop an IPO roadmap including readiness assessments, structural requirements, and timelines.
  • Engage closely with promoters and the Board to advise on equity story, valuation strategy, capital structure, and governance.
  • Coordinate with merchant bankers, auditors, legal counsel, registrars, and compliance teams for DRHP/RHP preparation and regulatory submissions.
  • Drive due diligence processes and ensure accuracy and completeness of disclosures.
  • Lead preparation of the equity story and represent the company during investor roadshows and analyst interactions.
  • Build and stress-test financial models; advise on IPO pricing, dilution trade-offs, and market benchmarking.
  • Strengthen internal systems including MIS, disclosures, ESG practices, and reporting standards to align with listed-company norms.
  • Post-listing, establish a structured investor relations function, manage quarterly reporting, and reinforce governance and compliance frameworks.

Candidate Profile

  • Chartered Accountant (CA) with Company Secretary (CS) qualification preferred; MBA Finance will be an advantage.
  • Minimum 15 years experience in finance, capital markets, or compliance.
  • Must have successfully led at least one full IPO cycle, beyond an advisory or support role.
  • In-depth knowledge of SEBI regulations, Companies Act, and stock exchange listing requirements.
  • Prior experience in promoter-led organizations is desirable.
  • Strong financial acumen, execution ability, and maturity to engage effectively with promoters, boards, and institutional investors.
  • Excellent communication skills and boardroom presence.
