DVP/VP - Company Secretary

Role Overview: As an experienced professional in the Company Secretary field with a C.S. qualification and over 10 years of relevant experience, you will be responsible for ensuring that the Bank complies with applicable secretarial standards. Your role will involve handling Board/committee meetings, monitoring compliance of Board Delegated Committees, managing the Secretarial Audit process, coordinating ROC Forms filing, assisting in General Meeting/Postal Ballot processes, providing authenticated data to regulators, and managing RBI correspondences. Key Responsibilities: - Ensure that the Bank complies with applicable secretarial standards. - Report about compliance with the provisions of relevant Acts, rules, and other laws applicable to the Bank/Company. - Handle Board/committee meetings and ensure timely completion & compliance of Board and Board Committees. - Monitor, complete & ensure compliance of Board Delegated Committees in a timely manner. - Manage the Secretarial Audit process, coordinate with auditors, and ensure closure of the audit. - Monitor ROC Forms filing and related compliances. - Assist in General Meeting/Postal Ballot processes and ensure compliances around them. - Provide authenticated data to regulators, fulfill data requests from other departments, and maintain statutory records. - Coordinate with other departments, intermediaries, and regulatory authorities. - Manage RBI correspondences and handle all types of RBI communications.
