Job Description

qualified Company Secretary (CS) with an LLB degree and 5 - 6 years of experience in the manufacturing industry

Job Profile / Key Responsibilities:

1. Company Secretarial Functions:

Ensure compliance with Companies Act and all applicable corporate laws.
Organize and manage Board meetings, Committee meetings, and Annual General Meetings (AGMs).
Draft Board resolutions, minutes, notices, and agendas.
Maintain statutory registers, records, and file necessary returns with the MCA (Ministry of Corporate Affairs).
Handle secretarial audits and due diligence processes.
Knowledge about compliance with SEBI.

2. Legal & Regulatory Compliance:

Drafting, vetting, and negotiating commercial agreements, MoUs, NDAs, vendor contracts, lease agreements, etc.
Handle legal notices, litigation management, and liaise with external legal counsel.
Ensure compliance with labor laws, environmental laws, industrial safety norms, and other sector-specific regulations.
Represent the company before regulatory authorities (ROC, NCLT, etc.) where required.

3. Governance & Ethics:

Implement corporate governance policies and code of conduct.
Guide the Board on their legal and fiduciary responsibilities.
Oversee risk management and internal control mechanisms.

4. Liaison & Representation:

Liaise with government departments, statutory bodies, and external legal advisors.
Handle factory law compliance, industrial disputes, and contract labor issues.

Preferred Skills & Competencies:

Strong knowledge of Company Law, Contract Law, IBC, FEMA, Labour Laws.
Excellent drafting and negotiation skills.
Exposure to IPR, mergers & acquisitions, or corporate restructuring is a plus.
Strong interpersonal and communication skills.
