Corporate Lawyer

Role Overview

We are seeking a skilled Corporate Lawyer with 4–5 years of experience to join our legal team at Baynine Ventures, based in Navi Mumbai (Work from Office). The ideal candidate will have hands-on experience in mergers & acquisitions (M&A), contract law, and corporate regulatory compliance, including a solid understanding of SEBI, RBI, FEMA, and Companies Act guidelines. You will play a critical role in safeguarding the company’s legal and regulatory interests while contributing to high-impact investment and commercial decisions.

Key Responsibilities:

- Draft, review, and negotiate a wide range of commercial and investment contracts, including NDAs, shareholders agreements, JV agreements, SPAs, and vendor contracts.

- Advise on legal aspects of mergers and acquisitions (M&A) including due diligence, structuring deals, and documentation.

- Ensure compliance with applicable laws, rules, and regulations including those from SEBI, RBI, FEMA, and Companies Act.

- Monitor and interpret regulatory developments impacting investment activities.

- Liaise with external legal counsel for specialized matters and litigation, when required.

- Support corporate governance initiatives and board resolutions.

- Assist in structuring new entities, restructurings, and exits.

- Provide legal support to investment, finance, HR, and operations teams.

Key Skills & Competencies:

- Strong experience in corporate law, M&A, contract management, and regulatory compliance.

- Deep understanding of SEBI and RBI regulations, FEMA, Companies Act, and other applicable financial services laws.

- Excellent legal drafting and negotiation skills.

- Strong research and analytical abilities.

- Ability to work independently and cross-functionally.

- High ethical standards and attention to detail.

Qualification:

• LLB or equivalent degree from a reputed law school.

• CS (optional) or any additional certifications in corporate law will be a plus.

Pay: ₹60,000.00 - ₹75,000.00 per month
