Contract Manager - Legal Counsel

Role Overview: You are sought after to take on the role of a Contract Manager - Legal Counsel at Calpion Inc. Your expertise in commercial contracts, corporate law, and data protection regulations will be instrumental in this position. As a central point of contact for contract closure, you will collaborate extensively with Sales, Delivery, Finance, Procurement, and U.S. legal teams. Key Responsibilities: - Draft, review & negotiate various types of commercial agreements such as MSAs, SoWs, NDAs, SaaS/PaaS agreements, DPAs, vendor contracts, and other relevant documents. - Ensure all contracts adhere to internal compliance, corporate policies, and data protection standards. - Manage the entire contract lifecycle, including initiation, negotiation, execution, and renewal/termination. - Maintain contract trackers and documentation to ensure audit readiness. - Act as the primary legal point of contact for the Sales team, coordinating with Delivery, Finance, Procurement, and IT. - Collaborate with U.S. attorneys on cross-border legal matters, review vendor agreements, and support RFP processes. - Conduct legal due diligence and risk assessments for vendor onboarding & property acquisitions. - Provide legal guidance for contract disputes, negotiations, and internal policy updates. - Support statutory compliance and maintain MIS reports to ensure zero penalties. - Advise HR on legal matters related to employee data privacy & internal investigations. Qualifications Required: - BA LLB from a recognized university (CS from ICSI is a plus). - 5-6 years of experience in contract management, corporate/commercial law, and regulatory compliance. - Strong knowledge of data protection requirements and contractual privacy clauses. - Excellent legal drafting, negotiation, and communication skills. - Ability to manage multiple priorities in a fast-paced environment with high attention to detail.
