Description
We are looking for a highly skilled and experienced Company Secretary to join our team in Chennai. The ideal candidate will have 2-3 years of experience, a strong background in company law, secretarial practices, and excellent communication skills. ### Roles and Responsibility Ensure compliance under the Companies Act 2013 and SEBI regulations. Prepare and review documents related to Board and General meetings, coordinate meetings, and maintain records. Draft resolutions as required under the Companies Act, 2013, and maintain statutory registers and minutes. Regularly file financials, returns, documents, including forms, returns, and applications with the Registrar of Companies/Ministry of Corporate Affairs. Handle assignments related to the incorporation or dissolution of companies and manage secretarial/compliance audits for all relevant entities. Keep track of updates and amendments in relevant legislation and manage tasks related to Securities and their dematerialization, transfer, and transmission. ### Job Requirements A graduate degree and membership in the Institute of Company Secretaries of India is required. Possess a practical approach to solving issues and complex problems, delivering insightful and practical solutions. Demonstrate the ability to work collaboratively across multiple client departments while adhering to commercial and legal requirements. Exhibit agility, curiosity, mindfulness, positivity, adaptability, and creativity in approach. Have exposure to listed company works and experience in drafting letters, minutes, notices, directors' reports, annual reports, and resolutions. Be able to communicate independently with clients and stakeholders.
