Designation - Manager / Sr. Manager

Base Location - Chakan, Pune

Reporting to - CFO

Business Line - Machining Business, Heavy Fabrication and Light Fabrications

Present Turnover - 2,500 cr (18 Plant in Pune and 1 Plant in US)

About the Company

Purpose of the Role

IPO readiness

Role & responsibilities

Ensure compliance with the Companies Act, SEBI regulations, FEMA and other applicable laws.
Prepare and maintain statutory registers, records and filings with the Registrar of Companies (ROC) and other authorities.
Organise, prepare agendas for and record minutes of Board meetings, committee meetings and Annual General Meetings (AGMs).
Provide guidance to the Board on governance matters, corporate policies and statutory obligations.
Lead the corporate secretarial aspects of the upcoming IPO process, including liaising with merchant bankers, legal advisors, auditors and regulatory bodies.
Draft, review, and vet legal documents, agreements and disclosures related to the IPO and ongoing corporate operations.
Monitor changes in relevant legislation and regulatory environments, ensuring timely compliance.
Support the CFO in investor relations, corporate restructuring and strategic transactions.
Oversee corporate filings, annual returns and compliance calendars.
Ensure adherence to corporate governance best practices.
