Role Purpose
We are looking for a qualified Company Secretary with 4 years of post-qualification experience, specializing in listing compliances, SEBI regulations, and IPO-related activities.
In this role, you will be responsible for ensuring adherence to statutory and regulatory requirements, supporting corporate governance practices, and providing end-to-end execution support during the IPO process. This position requires strong regulatory knowledge, stakeholder management skills, and a keen eye for detail.
The responsibilities we entrust you with
Listing & SEBI Compliances
- Ensure compliance with regulatory and statutory requirements during the pre-IPO phase and throughout the IPO process.
- Oversee compliance with SEBI (LODR) Regulations, 2015, Companies Act, 2013, Prohibition of Insider Trading regulations, and other applicable laws post listing.
- Manage filings with NSE/BSE including quarterly, half-yearly, and annual submissions.
- Coordinate with stock exchanges, depositories (NSDL/CDSL), and SEBI for disclosures and clarifications.
- Monitor insider trading policies, disclosures, and maintain the Structured Digital Database (SDD).
- Facilitate, convene, and conduct Board, Committee, and General Meetings, including drafting agendas, recording minutes, and ensuring regulatory correspondence with exchanges.
- Support corporate governance structuring, pre-IPO documentation, and regulatory clearances.
- Assist in processes from DRHP filing to listing.
FEMA Compliances
- Prepare and file forms including FCGPR, FCTRS, DI, ODI, FLA, APR, and ESOP-related filings.
Corporate Secretarial Functions
- Maintain statutory registers and records under the Companies Act.
- Review and ensure timely filing of forms and returns with MCA (ROC).
- Draft board resolutions, notices, and agendas.
- Monitor and implement corporate governance practices and policies.
- Provide secretarial compliance support for group entities and subsidiaries.
Investor Relations & Other Functions
- Support investor communication processes and related documentation.
- Ensure accurate maintenance of compliance data repositories.
- Coordinate with R&T agents, stock exchanges, auditors, advisors, merchant bankers, and regulatory bodies.
What matters in this role
Relevant work experience:
- Experience in listed companies or companies undergoing IPO.
- Demonstrated expertise in SEBI regulations, LODR, Companies Act, and IPO process.
Years of work experience:
- 4 years of post-qualification experience.
Key Competencies:
- Proficiency in compliance portals (MCA21, BSE, NSE, SEBI, NSDL, CDSL).
- Strong drafting, communication, and organizational skills.
- Excellent analytical and problem-solving abilities with strong attention to detail.
- Ability to manage multiple stakeholders under pressure.
- High ethical standards with sensitivity in handling confidential information.
Qualification:
- Member of the Institute of Company Secretaries of India (ICSI).
- Exposure to corporate restructuring, ESOP implementation, or investor relations is an advantage.
