Job Description

Job Summary:

We are looking for a qualified and experienced Company Secretary (CS) with a background in banking, specifically within the co-operative banking sector, to join our team. The candidate will be responsible for ensuring effective corporate governance, statutory compliance, board and regulatory liaison, and strategic advisory to the management and board in line with applicable laws and the co-operative banking framework.

Key Responsibilities:

  • Ensure compliance with the provisions of the Companies Act, Banking Regulations Act, RBI guidelines, and co-operative banking regulations.
  • Organize and manage Board Meetings, AGM/EGMs, Committee meetings, and prepare minutes, notices, and agenda.
  • Maintain statutory registers and records as required under applicable laws.
  • Act as a liaison between the board of directors, management, regulators (like RBI, RCS), and stakeholders.
  • File timely returns and submissions with the Registrar of Companies (ROC), RBI, and Registrar of Co-operative Societies.
  • Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
  • Ensure compliance with rules related to corporate governance, ethics, and board protocols.
  • Draft and vet legal documents, resolutions, board reports, and correspondence with regulatory bodies.
  • Assist in audits, inspections (RBI/Statutory/Internal), and ensure prompt rectification of audit findings.
  • Maintain strong governance practices and support management in risk mitigation through compliance frameworks.
  • Provide secretarial and legal support in mergers, conversions, expansion plans, or any strategic initiatives.

Required Skills & Qualifications:

  • Qualified Company Secretary (ICSI member).
  • 4–7 years of post-qualification experience, with at least 2 years in a co-operative bank or regulated financial institution.
  • Strong understanding of co-operative society laws, RBI regulations, and banking governance norms.
  • Excellent knowledge of statutory compliance, regulatory reporting, and secretarial practices.
  • Effective communication, documentation, and presentation skills.
  • Strong integrity, discretion, and ability to handle confidential information.

Preferred:

  • Experience in managing legal and compliance matters for a multi-branch co-operative bank.
  • Familiarity with RBI’s Supervisory Action Framework and urban co-operative bank guidelines.
  • Exposure to internal policy formulation and strategic advisory to senior management.
