Job Description

Business need: The Company Secretary is responsible for ensuring that the company complies with legal and regulatory requirements, manages governance processes, and supports the Board of Directors. The role acts as a bridge between the management and the Board and ensures efficient administration on of the company.

Roles and responsibilities Skills and experience

Ensure compliance with Companies Act, corporate laws, and other relevant regulations.

Monitor and interpret changes in RBI circulars, NBFC Master Directions, Companies Act, and advise management accordingly.

Manage RBI filings, including monthly returns, quarterly NBS returns, FPC filings, and statutory compliance updates.

Maintain statutory books including registers of members, directors, and secretaries.

Assist in the drafting and review of company policies, shareholder agreements, and resolutions.

Manage internal and external audits related to secretarial and compliance functions.

Support in corporate restructuring, capital infusion, share transfers, or change in management/shareholding.

Ensure timely submission of Annual reports and other statutory returns.

Educational Qualifications: Bachelor’s or Master’s degree in Finance, Economics, or Business. Additional certifications such as MBA, CFA, or FRM are preferred.

Technical Skills: Practical experience with Loan Origination System (LOS) and Loan Management System (LMS), Familiarity with credit risk models and data analytics tools.

Regulatory & Compliance Knowledge: Strong understanding of RBI guidelines, NBFC norms, and lending-related regulations, Proven experience in compliance functions within a regulated financial environment.

Work Experience: Minimum 2 years of experience in an NBFC or Bank, with a focus on compliance and credit operations.

Soft Skills: Excellent verbal and written communication skills, High level of attention to detail and ability to manage tasks under pressure.

Good to Have: Exposure to debt listing procedures and related compliance documentation is an added advantage.

Job Types: Full-time, Permanent

Pay: ₹800,000.00 - ₹1,000,000.00 per month
