The candidate will support the India business unit in respect of secretarial, legal, and compliance matters relating to engineering, procurement, construction (EPC) projects, major procurements with clients, partners, sub-contractors, and suppliers globally. Gradually, the candidate will also be involved in compliance with group entities and the parent company.
The selected candidate will work closely with internal and external stakeholders on all issues relevant to the Company for secretarial, and compliance management in India. As the Company Secretary, you will be responsible for ensuring that all corporate actions, proposals, and transactions are carried out in compliance with the Company’s policies, governance rules, and statutory requirements.
What will you do?

Ensure compliance with Companies Act 2013 and other applicable laws for the company, group companies, and parent company.

Organize, prepare agenda, and minutes for Board, Committee, and General Meetings; ensure timely filings with the Registrar of Companies (RoC)

Maintain statutory registers and records for the company and its subsidiaries/affiliates.

Liaise with regulators, auditors, and stakeholders for secretarial and legal matters across the group structure.

Draft, review, and vet legal documents, resolutions, and agreements for all group entities.

Support the Board in governance, risk management, and policy implementation for the company and its group companies.

Handle share transfers, transmission, and related secretarial matters for all group entities.

Ensure timely disclosures and filings with SEBI (for listed companies), MCA, and other authorities for the parent and group companies.

Assist in preparation and filing of annual returns, financial statements, and other statutory documents for all entities.

Advise management on corporate laws, secretarial standards, and best practices for the entire group.

Support in mergers, acquisitions, and other corporate actions involving group companies.

Coordinate with internal teams for compliance and legal support across the group.
Experience, Education and other Required:
-
Qualified Company Secretary (ACS) from the Institute of Company Secretaries of India (ICSI).

Minimum 3 years of relevant experience in a corporate secretarial role, preferably in construction, engineering, utilities, or manufacturing.

Experience in handling compliance for group companies and parent company is preferred.

Strong drafting, communication, and organizational skills.

Proficiency in MS Office and secretarial software.

Ability to work independently and as part of a team.

High attention to detail and integrity.
