Job Summary We are seeking a qualified and experienced Company Secretary to ensure our organization complies with legal and regulatory requirements, maintains high standards of corporate governance, and supports the Board and senior management with secretarial and administrative duties. The ideal candidate will be detail-oriented, trustworthy, and up to date on corporate laws and statutory requirements. Key ResponsibilitiesGovernance and Compliance Ensure the company complies with all legal, regulatory, and listing requirements. Maintain and update statutory registers and records (e.g., register of members, directors, charges). File annual returns and other necessary documents with the Registrar of Companies (ROC) or other regulatory bodies. Stay informed on changes in corporate laws and advise the Board accordingly. Board Support Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs). Take accurate minutes and ensure timely distribution to stakeholders. Assist in the onboarding and training of board members regarding governance responsibilities. Corporate Strategy & Administration Advise directors on their legal and corporate responsibilities. Handle corporate restructuring, mergers, acquisitions, and share allotments/transfers. Liaise with external regulators, lawyers, auditors, and other professionals. Stakeholder Communication Act as a liaison between the company and shareholders, ensuring timely communication. Oversee and ensure proper conduct of shareholder meetings. Qualifications & Skills Education : Qualified Company Secretary (ICSI – Institute of Company Secretaries of India or equivalent) Experience : 3–8 years of post-qualification experience in corporate secretarial function, preferably in a listed or regulated company Knowledge : Strong understanding of Companies Act, SEBI Regulations, and other corporate laws Skills : Excellent communication and interpersonal skills High attention to detail and strong organizational skills Discretion and confidentiality Proficient in MS Office and corporate compliance software Preferred Qualifications Legal background (LLB or similar) Experience with corporate governance in listed companies Knowledge of global compliance frameworks (if applicable) Job Types: Full-time, Permanent Pay: ₹50,000.00 - ₹70,000.00 per month Benefits: Paid sick time Schedule: Day shift Fixed shift Work Location: In person
