Company Secretary

As a Company Secretary, your role involves being a key legal and compliance officer within the organization. You are expected to have a deep understanding of corporate law, governance, and regulatory compliance. Key Responsibilities: - Oversee and ensure adherence to corporate governance principles and best practices. - Advise the board of directors on matters of corporate governance, including board procedures, director remuneration, and related party transactions. - Ensure compliance with all applicable laws, regulations, and statutory requirements, including Companies Act, SEBI regulations, and other relevant legislations. - Monitor regulatory changes and implement necessary changes to corporate practices. - Advise on legal and regulatory matters affecting the company's operations. - Organize and conduct board meetings, general meetings, and committee meetings. - Maintain statutory records and registers. - Prepare and file statutory returns and forms. - Handle correspondence with regulatory authorities. - Provide legal and secretarial support for mergers, acquisitions, and divestitures. - Draft and review relevant legal documents. - Identify and mitigate legal and compliance risks. - Develop and implement risk management policies and procedures. Qualifications: - Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
