Key Responsibilities

Secretarial Compliances for Group Companies

• Draft notices, agendas, board minutes, board reports, and other related documentation.
• Prepare and file statutory e-forms (MGT-14, DIR-12, DPT-3, AOC-4, MGT-7, etc.) on the MCA portal.
• Maintain statutory registers (Members, KMPs, Charges, etc.) as per Companies Act, 2013.
• Manage share-related actions: allotment, transfer, split, MOA/AOA amendments, and filings.
• Handle documentation for stamp duty on share certificates.
• File FEMA-related forms (FLA, FC-GPR, FC-TRS, etc.) as needed.
• Manage / Arrange board meeting

Share Dematerialization

• Prepare and process documentation for conversion of physical shares into demat form.
• Liaise with the Registrar & Transfer Agent (RTA).

Regulatory Compliances for Labs

• Obtain licenses: Shop & Establishment, Trade License, CTE/CTO, BMW Authorization, Clinical Establishment, etc.
• Work closely with consultants and authorities for issuance and renewals.
• File Biomedical Waste Annual Returns for labs across various locations.
• Maintain trackers for licenses and their renewal schedules.

Valuation & Audit Support

• Coordinate with valuers for financial instrument valuations.
• Assist in statutory audit closure with all necessary documentation and compliance inputs.

Required Qualifications

• Qualified

  Company Secretary (CS)

  with valid membership.

• 2–5 years

  of post-qualification experience, preferably in a multi-entity or healthcare environment.
• In-depth understanding of

  Companies Act, FEMA

  , and MCA compliance.
• Strong communication, drafting, and coordination skills.
• Experience in working with auditors, consultants, and regulatory authorities.
