Job Description: Company Secretary Position Title: Company Secretary Department: Legal & Compliance Location: Mumbai Reporting To: Managing Director Objective To ensure the company complies with statutory and regulatory requirements and maintains high standards of corporate governance. The CS will act as a key advisor to the board and senior management on legal, compliance, and governance matters. Key Responsibilities Statutory Compliance & Governance Ensure compliance with Companies Act, SEBI regulations, FEMA, and other applicable laws Maintain statutory registers, records, and filings with ROC and other authorities Organize and document Board Meetings, AGMs, EGMs, and Committee Meetings Draft resolutions, minutes, and notices in accordance with legal standards Legal & Regulatory Advisory Advise management on corporate legal matters, contracts, and regulatory changes Liaise with external legal counsel and regulatory bodies as needed Support due diligence and documentation for mergers, acquisitions, or restructuring Secretarial & Corporate Filings File annual returns, financial statements, and other statutory forms Manage shareholding records, transfers, and issuance of share certificates Ensure timely disclosures to stock exchanges (if applicable) Internal Controls & Risk Management Monitor internal compliance frameworks and recommend improvements Support audits and risk assessments related to governance and legal matters Stakeholder Communication Coordinate with shareholders, regulators, and internal departments Support investor relations and ensure transparency in disclosures Qualifications & Skills Qualified Company Secretary (ACS/FCS) from ICSI 3–7 years of experience in corporate secretarial and compliance roles Strong knowledge of Indian corporate laws, governance codes, and SEBI regulations Excellent drafting, communication, and stakeholder management skills Proficiency in MS Office and secretarial software (e.g., MCA portal, compliance tools) Preferred Attributes Experience in manufacturing or engineering sectors Exposure to hybrid work environments and cross-functional coordination Ability to manage confidential information with discretion and integrity Job Types: Full-time, Permanent Pay: ₹50,000.00 - ₹70,000.00 per month Work Location: In person
