Company Secretary

Key Responsibilities:

  1. Corporate Governance:

    • Ensure compliance with the provisions of the Companies Act, 2013 and other applicable laws, regulations, and guidelines.
    • Assist in the formulation and implementation of corporate policies and procedures, maintaining transparency and integrity in operations.
    • Act as a bridge between the board of directors, management, and stakeholders to ensure smooth communication and compliance.
  2. Legal & Statutory Compliance:

    • Ensure timely filing of annual returns, financial statements, and other statutory documents with the Registrar of Companies (RoC).
    • Maintain statutory registers, records, and minutes of the meetings of the Board of Directors, Committees, and Shareholders.
    • Liaise with external regulatory bodies, auditors, and legal consultants to ensure all legal and regulatory obligations are met.
  3. Board Support:

    • Organize and coordinate Board Meetings, Annual General Meetings (AGM), and Extra-Ordinary General Meetings (EGMs).
    • Prepare agendas, notices, and minutes for Board and Committee meetings.
    • Provide professional advice and guidance to the Board on corporate governance, legal, and regulatory matters.
  4. Compliance & Risk Management:

    • Monitor changes in relevant laws, regulations, and best practices, ensuring compliance and advising the company on necessary adjustments.
    • Manage and mitigate any legal or compliance risks that the company may face.
  5. Shareholder Relations:

    • Ensure smooth communication with shareholders, including handling of shareholder grievances, dividend distribution, and managing shares and securities.
    • Administer the companys Share Transfer and Dematerialization process.
  6. Secretarial Audit:

    • Conduct internal secretarial audits and ensure all statutory filings are made in a timely manner.
    • Assist in the preparation of reports for the Secretarial Audit, ensuring alignment with legal standards.
  7. Corporate Restructuring and M&A:

    • Provide secretarial support during corporate restructuring activities such as mergers, acquisitions, and joint ventures.
    • Handle the regulatory aspects of corporate transactions, including approvals from the Ministry of Corporate Affairs (MCA), Securities and Exchange Board of India (SEBI), etc.
  8. Corporate Social Responsibility (CSR) Compliance:

    • Ensure adherence to CSR regulations and assist in the implementation of CSR programs in alignment with the company’s policies.

Skills and Qualifications:

  • Education:

    • CS (Company Secretary) qualification from a recognized institute, along with a degree in Law or Commerce (preferred).
    • Membership with the Institute of Company Secretaries of India (ICSI).
  • Experience:

    • Minimum 5 years of experience as a Company Secretary in a manufacturing company or similar industry. Experience in TMT bar or steel manufacturing companies will be an advantage.
    • Proficient in handling secretarial and legal documentation, corporate governance, and statutory compliance matters.
  • Skills:

    • Strong knowledge of the Companies Act, 2013, SEBI regulations, and other relevant laws and statutes.
    • Excellent organizational and communication skills.
    • Attention to detail and ability to manage multiple tasks simultaneously.
    • Proficiency in MS Office, digital documentation tools, and company secretarial software.
