Job Description

We are seeking a qualified and proactive Company Secretary with 0-2 years of post-qualification experience to join our dynamic team at Areete Law Offices. The ideal candidate will have practical knowledge and experience in handling a wide range of corporate secretarial duties, including compliance, corporate governance, and legal documentation. The candidate should possess excellent organizational skills and attention to detail, with the ability to work independently while managing client relationships.

Key Responsibilities:

1. Statutory & Secretarial Record Keeping:

  • Prepare, maintain, and file statutory records, registers, and other secretarial documentation in compliance with legal requirements for clients.

2. Board & General Meetings Coordination:

  • Organize and coordinate board and general meetings, including drafting agendas, minutes, and resolutions to ensure compliance with corporate governance standards.

3. Corporate Restructuring & Mergers/Acquisitions:

  • Assist in compliance and legal procedures related to corporate restructuring, mergers, acquisitions, and demergers, including necessary filings and documentation.

4. Incorporation & Dissolution of Companies:

  • Handle all secretarial work related to the incorporation and dissolution of companies, ensuring all statutory filings and compliance requirements are met.

5. Statutory Books & Records Management:

  • Assist clients in maintaining statutory books and records, including the Register of Members, Directors, and other necessary registers and documentation in accordance with legal regulations.

6. Legal Due Diligence:

  • Conduct legal due diligence for clients, ensuring that all necessary information and documentation are accurately reviewed and compiled for corporate transactions.

7. SEBI Regulations Compliance:

  • Undertake compliance for listed entities under SEBI regulations, ensuring that all statutory obligations are met in a timely and efficient manner.

Key Requirements:

  • Educational Qualification: Qualified Company Secretary (CS) with 0-2 years of post-qualification experience.
  • Experience: Proven experience in handling corporate secretarial duties as listed above, including corporate governance and legal compliance.
  • Skills & Knowledge:
  • Strong knowledge of the Companies Act, SEBI regulations, and other relevant corporate laws.
  • Experience with corporate restructuring, mergers, acquisitions, and legal due diligence processes.
  • Familiarity with handling statutory records and maintaining corporate documentation.
  • Excellent written and verbal communication skills.
  • Ability to work independently, manage multiple tasks, and handle client interactions professionally.
  • Experience in working with listed entities and handling SEBI compliance would be preferred
  • Prior exposure to working with corporate clients across different industries would be preferred.

Job Type: Full-time

Pay: ₹30,000.00 - ₹40,000.00 per month

Ability to commute/relocate:

  • New Delhi, Delhi: Reliably commute or planning to relocate before starting work (Required)
