Vice President - General Counsel

As the VP - General Counsel at a leading company in Noida, your primary role will be to lead and successfully execute the IPO process by overseeing the legal, secretarial, and compliance framework. Your responsibilities will include: - Serving as the critical member of the IPO team and the main point of contact for lawyers, merchant bankers, and regulators. - Setting up the listing process within the company and conducting due diligence for selecting law firms and agreements with IPO stakeholders. - Finalizing IPO documents such as DRHP, RHP, and obtaining necessary approvals from regulators. - Obtaining listing and trading approvals from stock exchanges. - Handling SEBI (LODR), SEBI PIT, and other compliance regulations post-IPO. - Implementing and overseeing Structured Digital Database tools. - Convening board, committee, and shareholder meetings to ensure compliance. - Preparing governance reports, managing ESOP-related filings, overseeing FEMA compliance, and ensuring corporate governance policies" adherence. - Managing legal matters of the business to safeguard company interests. - Working with the business to support operational needs and maintaining a strong legal framework. - Handling M&A deals effectively. Qualifications Required: - 20+ years of experience in a similar profile with a proven track record of successfully delivering IPOs. - Experience working in a listed company and expertise in Corporate law, listed company regulations, IPO processes, and compliance frameworks. - Strong stakeholder management, negotiation, and leadership skills. - Ability to translate complex legal concepts. - Company Secretary & LLB qualifications are preferred.,
