Job Description

Key Responsibilities:

1. Organization Readiness in Post-Deal Integration:

  • Understand and align with the

    integration vision and strategy

    set out in the deal objectives.
  • Engage with

    C-suite executives

    , business leaders, and stakeholders to define

    integration guiding principles

    .
  • Design the

    target operating model

    , organizational structure, and governance framework for the consolidated entity.
  • Assess readiness for interim (Day 1/100) and desired end-state post-deal integration.
  • Develop and manage

    Day 1/100 checklists

    and work plans to ensure readiness.
  • Contribute to the

    Integration Management Office (IMO)

    for program management of workstreams.

2. Post-Deal Integration Support:

  • Lead

    Program/Integration/Transformation Management Office (PMO)

    planning and readiness.
  • Facilitate

    Day 1/100 readiness planning

    for smooth transitions.
  • Assess the

    IT landscape

    to identify synergies, dis-synergies, and operational efficiencies.
  • Support

    vendor evaluation, selection

    , and

    IT spend analysis

    (including contract reviews and cost optimization recommendations).
  • Manage

    bid formulations

    and vendor relationships to streamline post-deal operations.
  • Oversee the execution of post-deal

    IT operations

    integration and organizational changes.

3. Carve-Out and Separation:

  • Develop

    separation strategies

    and assess readiness for carve-out transactions.
  • Identify

    financial and operational entanglements

    and interdependencies for effective separation.
  • Define operating models, governance structures, and interim readiness plans for restructured entities.
  • Manage the

    Separation Management Office (SMO)

    and coordinate across workstreams.
  • Assess

    Transitional Service Agreements (TSA)

    , develop exit strategies, and model costs associated with separation.
  • Create

    step-wise separation roadmaps

    for efficient execution.

4. Commercial and Operational Diligence & Transformation:

  • Evaluate the

    strategic and commercial feasibility

    of deals and transactions.
  • Conduct operational diligence to identify

    risks

    ,

    red flags

    , and

    transformation opportunities

    .
  • Leverage industry best practices and Deloitte accelerators to enhance consolidation/separation methodologies.
  • Support detailed functional integration planning across areas like Sales, Marketing, Operations, Supply Chain, Finance, IT, and HR.

5. Synergy/Dis-Synergy Assessment & Delivery:

  • Identify areas for

    synergy realization

    and manage integration to unlock value.
  • Define roadmaps for

    synergy delivery

    and track benefits realization.
  • Collaborate with functional leads to ensure effective

    synergy execution

    and monitoring.

Qualifications:

  • Bachelor's degree

    in Business, Finance, IT, or related disciplines.
  • MBA

    or equivalent advanced degree preferred.
  • 610 years of experience

    in consulting, M&A advisory, post-deal integration, or transformation programs.
  • Strong background in

    technology-led transformations

    ,

    IT integrations

    , and

    carve-out separations

    .
  • Proficiency in enterprise systems, IT architecture, process reengineering, and vendor management.
