Job Overview

We are looking for a Semi-Qualified Company Secretary who will assist in handling secretarial, legal, and compliance matters of the company. The role involves supporting corporate governance practices, regulatory filings, and statutory compliance under the Companies Act and other applicable laws. The ideal candidate should be detail-oriented, well-versed with compliance requirements, and able to work in coordination with the senior management team.

Key Responsibilities

  • Assist in preparing and filing various statutory forms, returns, and documents with MCA/ROC.
  • Draft and maintain minutes of Board Meetings, General Meetings, and Committee Meetings.
  • Support in maintaining statutory registers and records as required under the Companies Act.
  • Assist in the preparation of agenda, notices, and resolutions for board and shareholder meetings.
  • Liaise with government authorities, regulators, and external stakeholders as required.
  • Ensure compliance with corporate laws, SEBI (if applicable), FEMA, and other regulatory frameworks.
  • Provide support in drafting and vetting of agreements, contracts, and legal documents.
  • Monitor compliance calendar and ensure timely filings to avoid penalties.
  • Assist in advisory and secretarial support for clients (if applicable in a consultancy environment).

Requirements

  • Semi-qualified Company Secretary (CS Executive or CS Professional passed but not a member).
  • Bachelor’s degree in Commerce, Law, or related field preferred.
  • 0–3 years of relevant experience in corporate compliance, secretarial work, or internships with practicing Company Secretary firms.
  • Strong knowledge of the Companies Act, 2013 and related rules.
  • Good drafting, communication, and organizational skills.
  • Proficiency in MS Office and familiarity with MCA portal.
  • Ability to work independently and manage deadlines.
