We are looking for a dynamic and detail-oriented Company Secretary (CS) to join our consulting practice, specializing in secretarial audit, corporate compliance, and advisory services for a diverse portfolio of clients across industries. This role offers the opportunity to work closely with client leadership teams, ensuring compliance with statutory and regulatory requirements, and providing strategic governance support.

Key Responsibilities:

Conduct Secretarial Audit under Section 204 of the Companies Act, 2013 for a variety of clients, including private, public, and listed companies.

Handle multi-client compliance portfolios, including maintenance of statutory registers, preparation of Board and General Meeting documents, and filing of forms with MCA/ROC.

Draft notices, agendas, resolutions, and minutes for Board Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).

File forms and returns on MCA21 portal, including annual filings (AOC-4, MGT-7), event-based filings (DIR-12, PAS-3, SH-7, etc.).

Assist in incorporation, conversion, and closure of companies and LLPs.

Interpret and apply provisions of Companies Act, 2013, SEBI LODR, FEMA, and other applicable corporate laws.

Provide support in due diligence assignments, share transfers, issue/allotment of shares, and other company law-related matters.

Regularly interact with clients to gather information, clarify requirements, and provide updates on compliance status.

Liaise with ROC, RD, NCLT, and other regulatory authorities as required.

Stay updated on regulatory changes and proactively inform clients of compliance obligations.
