Position overview : We are seeking a Company Secretary (5-10 years of experience) as our Compliance officer for SEBI registered entities who is looking forward to an extremely intense and challenging role in our hedge fund-styled investing platform. An ideal candidate would be someone who has held position in a similar profile in the asset management / financial services space. Candidates with specific experience in the AIF/PMS/Mutual Fund space will be highly preferred. Responsibilities A. Lead the entire compliance function end-to-end for all SEBI registered licenses i. Establish and implement all the compliance policies that are applicable to all SEBI registered and regulated investment licences AIF, PMS, RIA. Regularly review and upgrade the policies as required by regulation. ii. Build and implement processes and systems to ensure smooth functioning w.r.t compliance function iii. Review and ensure timely and accurate submissions of various regulatory filings are on time and accurate. iv. Facilitate establishing an audit and compliance testing program. B. Stakeholder management i. Monitor regulatory changes, assess impact on business, provide comments on consultative papers and act as a Nodal point of contact between the Company and SEBI and to be a participant to the consultations or other regular discussions. ii. Ensuring the timely response/ interactions thereof to the SEBI onsite and offsite inspections and be the central coordinator for any regulatory exercises. iii. Lead and facilitate interactions with the Board, Audit Committee, and other committees. Apprise all with the status of compliance with respect to the regulatory requirements and assist them to make an informed judgment on whether the SEBI registered entity/funds are managing its compliance risk effectively. iv. Work in a team of 5-6 members and lead 1-2 staff C. Value addition i. Get deeply involved with the Product team in creation of financial strategies/products right at the inception and provide understanding of applicable regulations ii. Lead the exercise for prospective licenses like Mutual Fund etc iii. Interpret regulations and seek clarifications from Regulator and from the market, as required. iv. Assess changing regulations and proactively highlight potential risk areas and implement solutions accordingly. D. Recommend and institutionalize best governance policies and practices. DNA: a. We are looking for a skilled Tax Manager to join our team in Bengaluru. The ideal candidate will have 7-10 years of experience in corporate federal tax compliance and tax consulting, with a strong background in partnership taxation. Roles and Responsibility Advise clients on a full range of partnership tax services, including planning, research, compliance, allocations, and general transactional activities. Assist with new business development, extended service, and tax issue recognition for existing clients. Develop, motivate, and train staff level team members. Manage partnership client needs with respect to tax services and federal and state tax compliance. Develop and sustain strong client relationships. Keep up to date on current tax practices and changes in tax law. Provide industry knowledge and expertise. Work in harmony with the U.S. team and continue to develop the teams both in US and USI. Serve as a Career Advisor, mentor, or coach to one or more employees, providing honest and constructive performance feedback. Provide detailed review and analysis of complex tax returns. Work on multiple complex issues while communicating in a non-technical manner to facilitate communication between the client and the service team while managing risk for both the client and the firm. Serve as the Tax client service coordinator for appropriate clients. Advise clients on a full spectrum of tax services, including planning, research, compliance, and general mergers and acquisitions activities. Assist with new business development, extended service, and tax issue recognition for existing clients. Manage corporate client needs with respect to tax services and federal and state tax compliance. Job Requirements Bachelor's & Master's Degree in Commerce or Accounts (B-Com/BBA & M-Com/MBA). Enrolled Agent is mandatory. At least 7+ years of corporate federal tax compliance and tax consulting experience pertaining to planning, research, and general mergers and acquisitions activities. Experience in public accounting with at least 5+ years focusing on partnership taxation. Experience with S-Corps or Partnerships/LLCs. Effective verbal and written communication skills. Strong Microsoft Excel and Word skills required. A proven record of building profitable, sustainable client relationships, simultaneously managing multiple projects and engagement teams for various clients. Project management and critical thinking skills. Outstanding organizational and time management skills; ability to prioritize multiple assignments. Working knowledge of tax code and technical aspects of tax preparation and compliance. Strong technical skills in accounting and tax preparation and industry specialization. Ability to handle multiple tasks simultaneously. Experience in dealing with international tax matters would be a plus. Experience with tax research tools (Bloomberg BNA, RIA Checkpoint, etc.) and tax preparation technology (CCH Axcess preferred). Experience with partnership taxation. Experience/familiarity with capital account analysis. Experience/familiarity with 704C, 754 matters, and M&A implications related to PPA. International tax matters K-2/K-3 reporting.
