As a Legal Advisor specializing in project finance and corporate lending, your responsibilities will include: - Providing legal advice and support for various transactions in project finance, corporate lending, and debt and capital markets. - Drafting and vetting financing and security documents such as loan agreements, consortium documents, escrow agreements, trust and retention account agreements, mortgages, pledges, guarantees, etc. - Drafting and vetting general agreements like non-disclosure agreements, memorandum of understanding, and engagement letters. - Advising on the applicability of laws, drafting resolutions, and other corporate authorizations. - Addressing legal queries and providing inputs on deal structures and security structures based on the existing laws and regulatory framework. - Conducting due diligence on constitutional documents and underlying transaction/commercial documents. - Participating in negotiations with internal and external stakeholders on transaction structures. - Identifying appropriate legal counsel, appointing them for specific transactions, and liaising with them for documentation and smooth execution of transactions. - Representing the legal desk during meetings between clients, bankers, and other counterparties. - Functioning in close coordination with Credit & Risk, Corporate Legal team, and transaction lawyers to ensure effective due diligence and documentation. Qualifications required for this role include: - Bachelor or Masters Degree in Indian Laws and a minimum of 6 years post-qualification experience in handling project finance, corporate lending, and debt capital transactions. - Knowledge of various laws including Companies Act 2013, Insolvency and Bankruptcy Code 2016, Indian Contract Act 1872, Transfer of Property Act 1882, SARFAESI Act, Stamp laws, and other banking and finance laws and regulations. - Knowledge and understanding of equity capital markets and corporate finance would be an added advantage. - Analytical acumen, excellent communication, and drafting skills. - Strong team player with relationship-building skills and ethical conduct.,
