Job Description

You will be responsible for providing legal advice and support for transactions in project finance (roads, airports, ports, solar, wind, telecommunication, education, healthcare, etc), corporate lending, and debt and capital markets. Your duties will include: - Drafting and vetting of financing and security documents such as loan agreements, consortium documents, escrow agreements, trust and retention account agreements, and various security documents like mortgages, pledges, hypothecation, guarantees, counter guarantees, etc. - Drafting and vetting of general agreements including non-disclosure agreements, memorandum of understanding, engagement letters, etc. - Advising on the applicability, drafting, and vetting of resolutions and other corporate authorizations. - Addressing legal queries and providing inputs on deal structures/security structures based on existing laws and regulatory framework. - Conducting due diligence on constitutional documents and underlying transaction/commercial documents like articles of association, memorandum of association, consortium agreement, power purchase agreements, lease deeds, license agreements, project agreements, shareholders" agreements, etc. - Participating in negotiations/discussions with internal and external stakeholders on the underlying documents and transaction structures. - Identifying appropriate legal counsel, appointing them for specific transactions, and liaising with them for documentation and smooth execution and closure of transactions. - Representing the legal desk during meetings between clients, bankers, and other counterparties, including internal stakeholders. - Functioning in close coordination with Credit & Risk, Corporate Legal team, and transaction lawyers to ensure effective due diligence and documentation. Qualifications required for this role include: - Bachelor or Masters Degree in Indian Laws and qualified Lawyer. - Minimum 6 years of post-qualification experience in handling project finance, corporate lending, and debt capital transactions. - Knowledge of various laws and regulations such as Companies Act 2013, Insolvency and Bankruptcy Code, 2016, Indian Contract Act, 1872, Transfer of Property Act, 1882, SARFAESI Act, Stamp laws, and other banking and finance laws. - Knowledge and understanding of equity capital markets and corporate finance would be an added advantage. - Analytical acumen, excellent communication, and drafting skills. - Team player with strong relationship-building skills and ethical conduct.,
