Job Description

Drafting & Record Keeping
Drafting: Preparing legal documents, including Board Resolutions, meeting notices, Shareholder Agreements, and the Directors' Report.
Statutory Registers: Maintaining mandatory records like the Register of Members, Directors, Charges, and Key Managerial Personnel (KMP).
Custodianship: Acting as the custodian of the Company Seal and original share certificates.
Meetings (Board, Committee & Shareholders)
Pre-Meeting: Issuing notices and agendas (minimum 7 days' notice for Board Meetings).
During the meeting: Ensuring a valid quorum and advising the Chairman on procedural matters.
Post-Meeting: Drafting Minutes of the Meeting and following up on action points. In India, secretarial standards (SS-1 and SS-2) must be strictly followed.
Incorporation & Constitutional Documents
Incorporation: Handling the end-to-end registration of new Companies and LLPs (SPICe+ forms).
Alterations: Amending the Memorandum of Association (MOA) and Articles of Association (AOA), such as changing the company name, registered office, or object clause.
Securities and Other Instruments
Allotments: Managing the issuance of shares, debentures, and sweat equity.
Transfers: Processing the transfer and transmission of shares.
Corporate Actions: Managing rights issues, bonus issues, and private placements.
Appointment & Cessation
Directors/KMP: Managing the induction, resignation, or removal of Directors and the Managing Director.
Statutory Filings: Filing Form DIR-12 for every change in the Board of Directors.
Filings - MCA and FEMA
MCA (Ministry of Corporate Affairs): Filing annual returns (MGT-7) and financial statements (AOC-4).
FEMA (Foreign Exchange Management Act): Reporting foreign investments (FDI) to the RBI through the FIRMS portal (e.g., filing Form FC-GPR upon share allotment to foreign investors).
Closure of Company/LLP
Strike-off: Handling voluntary winding up through the "Fast Track Exit" mode (Form STK-2).
Liquidation: Coordinating with liquidators for formal winding-up processes.
Audit & Listed Compliances
Secretarial Audit: Conducting a mandatory audit for listed and large public companies to verify compliance with all corporate laws.
