We are seeking an experienced and highly skilled Head of Compliance to join our team. The ideal candidate will be a qualified Company Secretary (CS) with a minimum of 10 years of experience in compliance and corporate governance, adheres to all statutory, regulatory, and internal governance standards, particularly as a listed company. You will be responsible for overseeing all compliance functions, with a strong focus on corporate governance, risk management, and statutory filings. This role requires exceptional leadership, analytical, and communication skills to effectively advise the board and management

Key Responsibilities

  • Corporate Governance & Board Support

    : Advise the board of directors on all matters of corporate governance, ensuring efficient and ethical operations. Facilitate board and committee meetings, preparing agendas, and ensuring accurate minute-taking and timely follow-up on action items in accordance with applicable SEBI guidelines for listed entities
  • Regulatory Compliance

    : Ensure strict adherence to all relevant statutory and regulatory requirements, including the Companies Act, SEBI regulations, and other financial laws applicable to a listed company
  • Acquisition & Integration

    : Manage and integrate the compliance functions of newly acquired companies, ensuring a seamless transition
  • Risk Management

    : Proactively identify, assess, and mitigate potential compliance risks across the organization, developing and implementing robust internal policies and procedures.
  • Statutory Filings

    : Oversee the preparation and timely filing of all regulatory documents and returns with authorities such as the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), and SEBI for the listed entities and all subsidiary entities.
  • Responding to Regulators

    : Ensuring prompt resolution to queries / notices / summons issued by stock exchanges / SEBI / other regulatory authorities and engaging in discussions with them to resolve their queries.
  • Internal Audits

    : Conduct regular internal audits and reviews to ensure continuous adherence to regulations and internal policies.

  • Experience

    : Minimum of 10 years of experience in a senior compliance, corporate secretarial, or governance role. Must have experience working in a listed company and handling M&A compliance.
  • Legal & Financial Knowledge

    : In-depth knowledge of Indian corporate laws, financial regulations, accounting standards, and taxation.
  • Regulatory Expertise

    : Strong understanding of regulatory filings and procedures with authorities like the MCA, ROC, SEBI, and RBI.
