DGM Company Secretary and Legal

The main accountability of the position is to lead the Secretarial function of Digitide and its subsidiaries in India and abroad post the Demerger implementation. The responsibilities include ensuring legal compliance, establishing sustainable company secretarial practices, and adhering to corporate laws such as Companies Act, FEMA, SEBI Regulations. Additionally, providing legal advice and regular reporting on related matters to stakeholders is crucial. The key accountabilities expected from the role are compliance with corporate laws like Companies Act, FEMA, SEBI Act and Regulations, SEBI Listing Regulations, and Insider Trading Regulations. This includes overseeing secretarial functions such as Board and General meetings, shareholder matters/litigation/communication, preparing meeting agendas, minutes, notices, drafting reports, e-filing documents, maintaining statutory books, registers, records, and ensuring all necessary filings and compliances are met with regulatory bodies like ROC, SEBI, Stock Exchanges, RBI, etc. Handling shareholders queries is also part of the role. The ideal candidate should be a Qualified Company Secretary with a Law degree (Preferred) and possess over 10 years of post-qualification experience. Extensive experience as a Company Secretary in a Medium size listed entity is desired for this position.,
