Job Description

As an Assistant Company Secretary at Syngene in Bangalore, you will be responsible for ensuring corporate secretarial compliance and governance within the organization and with other stakeholders. Your primary role will involve supporting board processes, governance, and core secretarial activities. This position offers you the opportunity to gain practical exposure and experience in corporate law, regulatory frameworks, and corporate governance. Your key responsibilities will include: - Assisting the Company Secretary in drafting agendas and minutes of board and committee meetings. - Preparation and filing of necessary returns and documents with regulatory authorities like the Ministry of Corporate Affairs (MCA), Securities and Exchange Board of India (SEBI), etc. - Ensuring compliance with the provisions of the Companies Act, 2013, and other relevant laws applicable to the company. - Supporting in the preparation of legal documents such as resolutions, agreements, and statutory filings. - Assisting in maintaining statutory books, records, and registers. - Working on the preparation of annual reports, corporate governance reports, and other compliance-related documents. - Participating in the organization and administration of annual general meetings (AGMs) and other corporate meetings. - Providing support for corporate governance processes and ensuring adherence to best practices. - Assisting in corporate structuring, mergers, acquisitions, and other corporate legal matters. - Participating in legal research and staying updated on changes in company law and regulatory requirements. To be successful in this role, you should possess the following qualifications and skills: - Education: CS (Institute of Company Secretaries of India) - Experience: 5-6 years of Company Secretary experience in listed organizations - Strong attention to detail and the ability to handle multiple tasks efficiently. - Excellent written and verbal communication skills. - Proficiency in Microsoft Office Suite and other legal document management tools. - Ability to work independently and as part of a team.
