About Supreme Engineering Ltd: Supreme Engineering Ltd (SEL), established in 1987 and listed on National Stock exchange (NSE) and headquartered in Navi Mumbai, India, specializes in the manufacture and sale of steel products. The company operates through two primary divisions:

  • Special Steels Division: Produces alloys, duplex stainless steels, tool steels, high-speed steels, and stainless steels.
  • Wire Division: Manufactures carbon, tool, stainless, and alloy steels.

Job Overview: We are seeking a qualified and professional Company Secretary to join our team. The Company Secretary will be responsible for ensuring that Supreme Engineering Ltd complies with standard financial and legal practices and maintains high standards of corporate governance, in line with the Securities and Exchange Board of India (SEBI) Listing Obligations and Disclosure Requirements (LODR) Regulations, 2015. This role involves overseeing the administration of company records, advising on company law, and ensuring all company policies and procedures are up to date and in line with current legislation.

Key Responsibilities:

  • Corporate Governance and Compliance:
  • Ensure the company complies with statutory and regulatory requirements, including the SEBI LODR Regulations, 2015.
  • Maintain and update company records, including registers of members, directors, and secretaries.
  • Prepare and file annual returns and other statutory documents.
  • Advise the board on corporate governance matters.
  • Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
  • Board and Shareholder Relations:
  • Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
  • Take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments.
  • Provide legal, financial, and strategic advice during and outside of meetings.
  • Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee.
  • Compliance and Risk Management:
  • Develop and oversee systems to ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
  • Liaise with external regulators and advisers such as lawyers and auditors.
  • Implement processes or systems to ensure good management of the organization.
  • Administrative Support:
  • Handle correspondence, collate information, write reports, and communicate decisions to relevant company stakeholders.
  • Manage contractual agreements with suppliers and customers.
  • Oversee the administration of the company’s pension scheme.
  • Manage office space and deal with personnel administration and company/staff insurance policies.

Job Type: Full-time

Pay: From ₹35,000.00 per month
