Company Secretary-Sr.Manager/AGM

Job Description: As a Company Secretary with 7-13 years of experience in the manufacturing industry, you will be responsible for ensuring compliance with statutory and regulatory requirements of group companies. Your key responsibilities will include: - Managing secretarial compliances under Companies Act and other applicable acts for Unlisted Public & Private Companies. - Monitoring compliances of foreign subsidiary/JV companies. - Providing expert advice to the Board of Directors and Senior Management on corporate governance matters and upholding high standards of corporate governance within the group. - Facilitating approvals for various Agreements, including Shareholders Agreements. - Liaising with regulatory authorities and other agencies, including ROC, RD, Banks, Legal Counsels, and Auditors. - Ensuring compliance while handling Acquisitions, Mergers/Demergers, and liaising with relevant stakeholders. - Preparing and maintaining statutory registers, records, and filings. - Coordinating and conducting board, committee, and general meetings. - Managing and monitoring compliance with the Companies Act and other relevant legislations. - Advising on legal and regulatory matters, as may be needed. - Ensuring adherence to the corporate governance policies and procedures. - Acting as a key point of contact for shareholders, regulators, and other stakeholders. - Staying updated on changes in laws and regulations impacting the group companies. - Assisting in the formulation and implementation of corporate strategies and policies. - Leading and managing a team of professionals within the secretarial function. Qualification Required: - Qualified Company Secretary with a bachelor's degree in law.
