Job Description

Role & responsibilities

1.

Handling of Companies Act 2013 Compliances and LLP Act 2008 such as preparation of Minutes, Filing of various e-Forms, XBRL Knowledge, Incorporation of Companies/ LLPs etc.

2.

To work on projects like Incorporation of Company both public and private, OPC, Section 8, Incorporation of LLP, Registration of Trust, Society, Partnership Firms, closure of company/LLP, conversion of LLP into Company and vice versa, and other type of corporate actions.

3.

Drafting of documents for Board Meetings, committee meetings, Members Meeting, preparing documents related to Notices, agenda, notes to agenda, drafting of various Resolutions accordance with Rules and Provisions under Companies Act and LLP Act, preparing Minutes for Board Meetings, Committee Meetings, Members Meetings – Annual General Meetings and Extra-ordinary General Meetings, CSR reporting, Annual action plan of CSR, all secretarial functions as requires under Companies Act and LLP Act.

4.

Maintaining and act as the custodian of statutory registers and secretarial records for Members, Directors and KMP’s, Loan and Investment, Related Party Transactions.

5.

Preparing and submission of various E-forms for intimation/ approval to ROC/ Central Government on timely manner for Company like MSME, DPT 3, PAS 6, MGT 14, DIR 12, Director KYC, MGT 7/7A, AOC 4, AOC 4 CFS, AOC 4 XBRL, CSR 2, CHG 1, CHG 4 and other e-forms based on nature of corporate action.

6.

E-filing for LLPs – Form 3, 4, Form 8 and 11 and other event-based filing.

7.

Preparing Annual Report and Annual Return of the company and filling it with ROC on timely manner.

8.

Manage the Secretarial/ Compliance Audit.

9.

Manage various compliances through Registrar, Transfer Agent etc. related to Shares of Company, Dematerialization, Issuance of Duplicate, Transfer and Transmission. Manage reconciliation of Share Capital and all other tasks related to securities of the Company

10.

Liaising and Co-ordination with various statutory bodies like Registrar of Companies, Regional Director and other Government and Sectoral Departments regarding secretarial matters.
