Job Title: Company Secretary & Head – Compliance & Operations Department: Legal, Compliance & Operations Location: Mumbai Reports to: CEO Role Summary: This is a critical leadership role responsible for ensuring robust corporate governance, regulatory compliance, and seamless operational execution in an IRDAI-regulated insurance brokerage firm. The role integrates statutory secretarial duties, oversight of compliance with IRDAI and other regulators, and end-to-end management of internal operational processes to support business continuity and scale. Key Responsibilities: Statutory & Secretarial Duties: Ensure full compliance with the Companies Act, 2013, and oversee all secretarial functions. Organize Board and Committee Meetings, prepare agendas, draft minutes, and ensure timely statutory filings (e.g., MGT-7, AOC-4, DIR-12). Maintain statutory registers and records in accordance with applicable laws and Secretarial Standards. Manage regulatory communications, including changes in directorships, shareholding patterns, and corporate actions. Serve as liaison between the Board, regulatory bodies (MCA, IRDAI), and shareholders. Regulatory Compliance (IRDAI & Legal): Monitor and ensure compliance with IRDAI regulations, circulars, and guidelines applicable to insurance brokers. Prepare and file statutory returns and regulatory reports with IRDAI, MCA, and other governing bodies. Conduct internal compliance checks and audits; implement corrective actions and mitigation plans. Ensure adherence to AML/KYC, data privacy laws, and fit & proper guidelines for directors and key personnel. Operational Management: Oversee daily insurance broking operations including policy issuance, endorsements, claims coordination, and renewals. Develop and implement Standard Operating Procedures (SOPs) to improve operational efficiency and client service. Lead MIS reporting, reconciliation, and dashboarding of key KPIs across sales, finance, and servicing functions. Coordinate with insurer partners for escalations, settlements, and process alignment. Drive automation and digitization initiatives across operational workflows. ⸻ Qualifications & Experience: Qualified Company Secretary (ACS / FCS) from ICSI – Mandatory Bachelor’s or Master’s degree in Law, Commerce, or Business 5–10 years of experience in a mid-to-senior role handling secretarial, legal, and compliance functions Strong experience in insurance brokerage or financial services sector preferred IRDAI Broker Qualified Person (QP) certification is an added advantage Key Skills & Attributes: Deep understanding of Companies Act, IRDAI regulations, FEMA, and corporate governance norms High attention to detail and process discipline Strong communication, drafting, and presentation skills Integrity, ethical judgment, and sound risk management acumen Ability to manage cross-functional teams and drive operational excellence Apply : [email protected] Job Type: Full-time Pay: ₹1,000,000.00 - ₹1,517,267.00 per year Schedule: Day shift Work Location: In person Expected Start Date: 01/07/2025
