Job Description

Job Summary:

The Company Secretary will oversee the companys compliance with statutory and regulatory requirements, ensure board processes run smoothly, and advise the board and senior management on governance and legal matters.

Key Responsibilities:

  1. Corporate Governance & Compliance:

    • Ensure the company complies with all statutory obligations under relevant laws and regulations.
    • Maintain and update statutory registers, records, and filings (e.g., annual returns).
    • Liaise with regulatory authorities such as the Registrar of Companies and other stakeholders.
  2. Board Meetings & Documentation:

    • Organize, prepare agendas for, and take minutes of board meetings and general meetings.
    • Advise the board on corporate governance best practices.
    • Ensure decisions of the board are properly implemented.
  3. Legal Advisory & Risk Management:

    • Provide legal advice on matters affecting the company, including contracts, mergers, and acquisitions.
    • Identify potential risks and ensure the organization has robust risk management frameworks in place.
  4. Stakeholder Communication:

    • Serve as the point of contact for shareholders, regulators, and other stakeholders.
    • Handle queries from shareholders and ensure effective communication with them.
  5. Record-Keeping & Reporting:

    • Ensure proper documentation and safe custody of important documents such as share certificates, deeds, and agreements.
    • Prepare and file necessary forms, returns, and reports to government agencies.
  6. Policy Development:

    • Assist in the development of internal policies and ensure alignment with legal and governance standards.

Key Skills & Qualifications:

  • Educational Background:

    • Bachelor’s degree in Law, Business Administration, or relevant field.
    • Professional qualification as a Company Secretary (ICSI or equivalent).
  • Skills:

    • Strong understanding of corporate law, compliance, and governance.
    • Excellent organizational, communication, and interpersonal skills.
    • Proficiency in legal drafting and interpretation.
    • Ability to handle confidential information with integrity.
  • Experience:

    • Minimum 3–5 years of experience in a similar role
