Job Description

Role & responsibilities

1. SEBI CRA Regulatory Compliance & Licensing

  • Liaise with SEBI and other regulatory authorities for queries, inspections, and ongoing compliances
  • Ensure adherence to SEBI (Credit Rating Agencies) Regulations, 1999, SEBI Master Circular (Amended from time-to-time) and related circulars.

2. Board & Governance Support

  • Assist in organizing and conducting Board Meetings, Committee Meetings, and General Meetings (AGM/EGM), including drafting of agendas, notices, minutes, and resolutions and follow-up on action items.

3. Statutory Compliance & Record Management

  • Maintain and update statutory registers, records, and filings in accordance with the Companies Act, 2013, SEBI regulations, and other applicable laws.
  • File necessary forms and returns with the Ministry of Corporate Affairs (MCA), SEBI, and other statutory bodies.
  • Ensure compliance with FEMA, Labour Laws, and other applicable provisions.
  • Assist in preparation and drafting of annual reports, corporate governance reports, and disclosures.
  • Supporting Corporate transaction such as merger, acquisition /consolidation and restructuring including Due diligence drafting documents and ensuring regulatory compliance and fulfil obligation to shareholder/stakeholder.

4. Policy Framework Development

  • Draft and maintain company policies including Code of Conduct, Investor Complaints Redressal Mechanism Policy, Corporate Governance & Ethics Policy, Insider Trading Policy, Firewall Policy, Employee Investment Conflict of Interest Policy, Data Back-up, Storage & Security Policy, Whistleblower Policy and any other Policy as per applicable laws under the guidance of the Company Secretary.
  • Draft frameworks for internal controls and risk management under the guidance of the Company Secretary.

6. Startup Environment Contribution

  • Collaborate across teams in a lean setup; take initiative in setting up scalable processes
  • Provide strategic inputs in company structuring, corporate actions, and compliance automation
  • Liaise with external consultants such as Legal Consultants and Auditors of the Company.
  • Perform additional and administrative tasks as and when required.

Preferred candidate profile

  • Qualified Company Secretary with 0 2 Years of Experience
  • LLB Degree preferred
  • Hands-on experience in setting up corporate secretarial and compliance functions in a startup or financial services firm preferred
  • Familiarity with SEBI CRA Regulations, Companies Act, and MCA/SEBI/RBI portals preferred
  • Good Verbal & Writing skills
  • Excellent drafting, communication, and organizational skills
  • Self-starter with the ability to operate in a dynamic, early-stage environment
