Job Description

Job Purpose
To ensure compliance with applicable laws and support secretarial functions of the company and its subsidiaries, including coordination with regulatory authorities and auditors.Key ResponsibilitiesSecretarialConduct Board, Committee, and Shareholder meetings including drafting Notices, Agendas, and Minutes.Handle filings with Registrar of Companies (ROC) under the Companies Act, 2013.Manage statutory registers and secretarial records for the parent and subsidiary companies.Coordinate with Internal, Statutory, and Secretarial Auditors for smooth audits.ComplianceEnsure compliance with Companies Act, 2013, Payment and Settlement Systems Act, 2007, and RBI CCP/ETP guidelines.Track legal/regulatory changes and assess organizational impact.Use and manage compliance management software; monitor dashboards daily.Liaise with internal departments to resolve compliance-related issues.Required Skills & KnowledgeIn-depth knowledge of Companies Act, 2013 and related rules.Familiarity with RBI regulations and other relevant regulatory frameworks.Strong drafting and communication skills.Working knowledge of Secretarial Standards (ICSI).Good understanding of compliance software and regulatory reporting tools.Excellent MS Office proficiency.Core CompetenciesLegal and regulatory awarenessAnalytical thinking and attention to detailExcellent written and verbal communicationHigh levels of integrity and confidentialityStrong time management and multitasking skillsWillingness to work beyond regular hours as requiredBehavioral AttributesSincere, hard-working, and eager to learnStrong team player with a collaborative mindsetAbility to manage high-pressure deliverables with accuracy
