General Legal Counsel - For Leading Gems & Jewellery Company - Munbai-BKC

Key Responsibilities:

1. Corporate Governance & Compliance:

   • Advise the Board of Directors, senior management, and other stakeholders on corporate governance, legal risks, and best practices.

   • Oversee corporate compliance programs, ensuring the company adheres to all applicable federal, state, and international laws.

   • Develop and implement policies and procedures to ensure legal and regulatory compliance across the organization.

2. Contract Management:

   • Review, draft, and negotiate a wide variety of contracts, including commercial agreements, vendor contracts, NDAs, partnership agreements, and more.

   • Provide guidance to internal stakeholders on contract interpretation and obligations.

3. Litigation Management:

   • Oversee any litigation matters, ensuring the companys interests are protected.

   • Work with external counsel on litigation strategy and execution, managing outside counsel relationships and costs.

   • Proactively identify and mitigate potential legal risks that could lead to disputes or claims.

4. Risk Management:

   • Identify legal risks and recommend strategies to minimize and mitigate such risks in business operations.

   • Counsel senior management on legal matters that could affect strategic decision-making.

5. Employment & Labor Law:

   • Advise HR and senior leadership on employment-related issues, including employee relations, compensation, benefits, workplace policies, and dispute resolution.

   • Ensure compliance with labor laws and handle employment-related claims, investigations, and litigation.

6. Mergers & Acquisitions:

   • Provide legal counsel on corporate transactions, including mergers, acquisitions, joint ventures, and other business arrangements.

   • Oversee due diligence processes and integration of legal and regulatory aspects in the transactions.

7. Intellectual Property:

   • Develop and implement strategies for managing the company's intellectual property, including trademarks, copyrights, patents, and trade secrets.

   • Advise on intellectual property matters in the context of product development, licensing, and partnerships.

8. General Legal Counsel and Advice:

   • Serve as the companys primary legal advisor, handling a wide range of legal matters affecting the business.

   • Stay abreast of relevant legal developments and their impact on the companys operations.
