Job Description

We are seeking an experienced legal professional with 6 to 8 years of experience to join our team. The ideal candidate will have a strong background in Private Equity (PE), Venture Capital (VC), and Mergers & Acquisitions (M&A), including expertise in both unlisted and listed company Drafting, reviewing, and negotiating a variety of transaction documents, including Share Subscription Agreements (SSA), Share Purchase Agreements (SPA), Shareholders' Agreements (SHA), Business Transfer Agreements (BTA), and term sheets.
  • Managing end-to-end closing of transactions, ensuring all legal and regulatory requirements are met.
  • Leading due diligence exercises to identify potential legal risks and ensure compliance.
  • Advising on matters related to corporate laws such as the Companies Act, 2013, and SEBI regulations including Listing Obligations and Disclosure Requirements (LODR) and Prohibition of Insider Trading (PIT) regulations.
  • Handling foreign exchange law-related issues as part of transaction advisory.
  • Effectively communicating with clients, understanding their business needs, and providing clear legal advice.
  • Demonstrating adaptability by quickly picking up new areas of law and working across diverse streams such as advisory, drafting, negotiations, and corporate Bachelor of Laws (LLB) degree from a recognized institution.
  • 6 to 8 years of relevant experience in corporate legal practice, especially in PE/VC/M&A.
  • Experience with listed company transactions (such as open offers and delisting) will be an added advantage.
  • This role demands a proactive and detail-oriented individual with excellent drafting and negotiation skills, who can operate independently and as part of a dynamic legal team.
