Job Description

Role & responsibilities

  • Compliance Oversight: Ensure the company's compliance with legal and regulatory requirements, including updating and managing statutory books.
  • Communication with Shareholders: Manage shareholder relations and communication, including producing annual reports and organizing the company's Annual General Meeting (AGM).
  • Vetting/Drafting Contracts and agreements as per business needs.

  • Record Keeping: Maintain essential company documents, such as the certificate of incorporation, legal documents, statutory registers, and meeting minutes.
  • Policy Management: Update and administer company policies to ensure they comply with legal standards and reflect the company's objectives.
  • Legal Advisory: Provide legal guidance on matters affecting the company, ranging from contracts to mergers and acquisitions.
  • Board Meetings Management: Organize and facilitate board meetings, including scheduling, preparing agendas, and minute-taking.
  • Corporate Governance: Advise the board on governance matters, helping to ensure the company adheres to the highest standards of corporate governance.
  • Financial Reporting: Assist in financial reporting and auditing processes, ensuring accuracy and compliance with financial regulations.

Preferred candidate profile

Qualification: A member of the Institute of Company Secretaries of India (ICSI) with a valid CS certification

Experience: 0-2 Years

Skills:

  • Legal Acumen: Strong understanding of corporate law and regulatory frameworks.
  • Vetting/Drafting Contracts and agreements as per business needs.

  • Corporate Governance Expertise: Deep understanding of governance principles, ethical practices, and ability to implement policies that enhance transparency and accountability.
  • Analytical Thinking: Ability to interpret legal provisions, assess risks, and provide strategic advice
  • Interpersonal Skills: Strong communication and interpersonal skills to facilitate effective collaboration and communication
  • Problem-Solving Abilities: Ability to address issues promptly and mitigate risks to the organization
