Job Description

Job Summary:
The Company Secretary will be responsible for ensuring meticulous adherence to all corporate, statutory, and SEBI regulations pertaining to the public listing process of our clients. This individual will serve as the crucial link between the company, merchant bankers, regulatory bodies (SEBI, MCA), stock exchanges, and depositories, certifying compliance and facilitating due diligence. Your expertise will be indispensable in preparing the company for its listing and ensuring ongoing corporate governance.

Key Roles & Responsibilities:

1. Corporate & Statutory Approvals (Companies Act, 2013):

  • Validate and document all Board and Shareholders’ approvals for IPO, increase in authorized capital, amendment of AoA/MoA, and other relevant corporate actions.
  • Ensure timely and accurate completion of all Ministry of Corporate Affairs (MCA) filings (e.g., SH-7, PAS-3, MGT-7).
  • Certify compliance with critical sections of the Companies Act, 2013, including but not limited to Sections 23, 24, 42, 62, 68, 129, 134, 177, 178, and 188.
  • Confirm the proper maintenance of all statutory registers and records (e.g., register of members, directors, contracts, charges).

2. Due Diligence Support:

  • Provide comprehensive certificates and confirmations to the Merchant Banker as required under ICDR regulations (e.g., promoter shareholding, pre-issue capital structure, related party transactions).
  • Certify compliance of allotments, buybacks, ESOPs, preferential issues, and bonus/splits.
  • Disclose and provide status updates on litigation, corporate disputes, and regulatory notices.
  • Assist the Merchant Banker in verifying promoter group, subsidiaries, associates, and beneficial ownership disclosures.

3. SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018:

  • Ensure the company meets all eligibility norms under ICDR Regulation 6 (track record, net tangible assets, profit criteria, or alternate routes).
  • Certify that promoter contribution meets the minimum 20% requirement and complies with ICDR provisions (no encumbrance, legally sourced).
  • Ensure adherence to lock-in requirements for promoters, pre-IPO investors, and ESOPs.
  • Confirm that pricing, valuation, and disclosures align with ICDR rules.
  • Actively assist in drafting and verifying the Draft Red Herring Prospectus (DRHP) and Red Herring Prospectus (RHP), with a focus on accuracy in corporate law and governance sections.

4. SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015:

  • Confirm the proper constitution of mandatory committees (Audit Committee, Nomination and Remuneration Committee, Stakeholders Relationship Committee, Risk Management Committee) as per Regulations 17-27.
  • Ensure the company has adopted and implemented essential codes and policies (e.g., Insider Trading Code, Related Party Policy, Vigil Mechanism, Dividend Distribution Policy).
  • Certify compliance with all applicable corporate governance norms at the time of listing.
  • Prepare the company for its quarterly and annual reporting obligations post-listing.

5. Investor Interface & Stock Exchange Requirements:

  • Act as the designated Compliance Officer (Regulation 6 of LODR) for the efficient redressal of investor complaints.
  • Coordinate seamlessly with Depositories (NSDL/CDSL) and Registrar & Share Transfer Agent (RTA) for dematerialization, corporate actions, and reconciliation of share capital audits.
  • Assist in preparing the basis of allotment, and securing listing and trading approvals.
  • Ensure timely publication of public notices, advertisements, and press releases as per SEBI/Exchange directives.

Qualifications:

  • Qualified Company Secretary (CS) with a valid membership number.
  • [Number] years of progressive experience as a Company Secretary, with significant exposure to public listing processes and IPOs.
  • In-depth knowledge of Companies Act, 2013, SEBI (ICDR) Regulations, 2018, and SEBI (LODR) Regulations, 2015.
  • Strong understanding of corporate governance best practices.
  • Excellent communication, interpersonal, and negotiation skills.
  • Meticulous attention to detail and a high degree of accuracy.
  • Ability to work effectively with cross-functional teams and external advisors (Merchant Bankers, Legal Counsel, Auditors).
  • Proficiency in relevant software and compliance tools.

Job Type: Full-time

Pay: ₹50,000.00 - ₹70,000.00 per month
