Job Description

Education:

  • Experience:

    5-7 years of experience in company secretarial functions, with at least 5 years in a

    listed company

  • Strong knowledge of SEBI, Companies Act, FEMA, and Secretarial Standards (SS-1 and SS-2)

  • Ensure compliance with the

    Companies Act, 2013

    Securities Contracts Regulation

    Listing Agreement

  • Maintain statutory registers and records.
  • File necessary returns and reports with

    ROC

    SEBI

    ,

    Stock Exchanges (NSE/BSE)

    in a timely manner.

2. Board & Committee Management

  • Organize and manage

    Board Meetings

    ,

    AGMs

    ,

    EGMs

    , and

    Committee Meetings

    (Audit, Nomination & Remuneration, CSR, etc.).
  • Prepare agendas, board packs, notices, and detailed minutes as per legal standards.
  • Ensure directors disclosures and declarations are up to date.

3. Corporate Governance

  • Advise the board on

    good governance practices

    , board evaluation, and compliance with

    corporate governance norms

    .
  • Monitor changes in relevant legislation and ensure the company is prepared for compliance.

4. Stock Exchange & SEBI Disclosures

  • Handle timely disclosure of material events to

    stock exchanges

  • Ensure compliance with the

    SEBI (PIT) Regulations

    Insider Trading Policy

  • Monitor insider trading norms and manage the trading window.

5. Secretarial Audit & Annual Reports

  • Coordinate with Secretarial Auditors and ensure smooth completion of

    Secretarial Audit

    and compliance with

    Form MR-3

  • Prepare the

    Annual Report

    , including Directors' Report, Corporate Governance Report, and MGT-9.

6. Shareholder & Stakeholder Management

  • Act as liaison between shareholders and the company.
  • Address investor grievances, oversee RTA coordination, dividend distribution, and share transfers.
  • Support investor relations and handle queries from institutional investors or analysts if needed.

7. Legal Support & Recordkeeping

  • Support the legal department in drafting/vetting agreements, contracts, and legal opinions.
