Job Description :

We are looking for a highly motivated and detail-oriented professional who is a qualified Company Secretary with 3 - 4 years of post qualification experience from Pvt Ltd Companies / reputed PCS firms. The ideal candidate will be responsible for managing statutory compliances, supporting board governance, and handling secretarial documentation across the organization.

Key Responsibilities:

Corporate Compliance & Secretarial Duties:

• Ensure timely compliance with the provisions of the Companies Act, 2013, and related statutory regulations.
• Managed Right issue, Private Placement, Preferential allotment, Conversion of loan into equity and E-Filings with respect to the same.
• Prepare and maintain statutory registers and records.
• Draft and circulate notices, agendas, and minutes of Board Meetings, AGMs, and Committee Meetings.
• Handle e-filings with the Ministry of Corporate Affairs (MCA), including MGT-7, AOC-4, PAS-6, DIR KYC, etc.
• Filing of various Forms under Companies Act,2013 and LLP Act,2008 on MCA V2& V3 Portal.
• Monitor adherence to company policies and corporate governance standards.

Liaison & Coordination:

• Coordinate with regulatory bodies such as ROC, SEBI.
• Collaborate with internal departments on compliance matters.

Desired Candidate Profile:

• Qualified Company Secretary (ACS)
• Strong understanding of Companies Act, Corporate laws, Contract law, and regulatory frameworks.
• Excellent drafting, communication, and analytical skills.
• Proficient in using MCA and other legal/compliance portals.
• Ability to multitask, work independently, and maintain confidentiality.
