Job Description

JD for Board Secretariat- NPCI BHIM SERVICES LIMITED

Role Contour: Undertake good governance practices across NPCI and maintain compliance of Corporate Governance norms as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines made thereunder

Qualifications & Skills:

CS having minimum of 8 years of experience as the Company Secretary of a large corporation
Strong organizational skills, time and ability to meet deadlines and produce notes
Excellent notetaking, transcription, and computer literacy skills.

Responsibilities

Liaise with board and committee members to schedule meetings and acquire clearance on critical agenda items
Draft agenda and minutes of the Board and Committee meetings as well as maintain and update registers and records based on new developments for the Head Board Secretariats review and sign off
Understand and overview the finalization of annual reports, interim reports, directors' reports, circulars and announcements
Maintain relevant and updated documentation files
Attend to stakeholders queries and correspondence on matters ranging from annual reports to dividends etc.
Propose to implement robust processes to ensure timely statutory and legal compliance pertinent to NPCI
Liaise with statutory authorities on a regular basis to keep abreast of the changes and compliance requirements pertinent to NPCI
