Job Description:
Key Responsibilities: -
Corporate Governance & Secretarial Functions
Corporate Governance & Secretarial Functions
• Ensure compliance with the Companies Act, 2013, SEBI Regulations, Listing Obligations (LODR) and ROC filings.
• Organize, conduct, and document Board Meetings, Committee Meetings, and Annual General
Meetings (AGM) as per statutory requirements.
• Draft and maintain statutory registers, records, minutes, resolutions, and disclosures.
• Advise the Board on corporate governance practices, policies, and regulatory changes.
IPO & DRHP / Listing Compliance
• Lead the DRHP and IPO documentation process in coordination with merchant bankers, legal
counsels, and regulators.
• Manage pre-listing and post-listing compliances, including SEBI, Stock Exchange, and Registrar
of Companies obligations.
• Handle due diligence, investor disclosures, and regulatory interactions during the IPO process.
• Ensure smooth transition from a private to a listed company structure.
Legal & Regulatory Matters
• Provide legal advisory support on contracts, joint ventures, litigation, labor laws, and
commercial agreements.
• Draft and vet legal agreements, MoUs, and contracts for the companys business operations.
• Liaise with external counsels and regulatory bodies on legal matters and dispute resolution.
Stakeholder & Board Management
• Act as a trusted advisor to the Board and Committees on governance and compliance issues.
• Ensure timely submission of quarterly/annual filings, disclosures, and investor
communications.
• Maintain close coordination with shareholders, investors, regulators, and merchant bankers.
• Support management in decision-making with a compliance and governance perspective.
Desired Candidate Profile
• Mandatory Qualifications: Company Secretary (CS) + LLB.
• Experience: Minimum 10+ years in secretarial & legal functions, preferably in the
manufacturing sector.
• IPO Experience: Hands-on experience managing DRHP, IPO execution, and listed company
compliances.
• Strong knowledge of Companies Act, SEBI Regulations, ROC, and Stock Exchange requirements.
• Proven track record of managing board governance, legal affairs, and investor relations.
• Excellent drafting, communication, and stakeholder management skills.
• Integrity-driven professional with high attention to detail and ability to handle regulatory
scrutiny.
