Key Responsibilities ● Investment Research & Analysis: Conduct financial and strategic due diligence on startups, analyze private company filings (MCA/ROC), assess ESOP structures, and build investment memos and valuation models. ● Transaction Execution: Drive end-to-end deal closure including term sheet preparation, legal documentation review (SPA, SHA, DoA), stamp duty coordination, and compliance with regulatory processes. ● Legal & Compliance Coordination: Collaborate with external legal and tax advisors to ensure all transactions are executed in accordance with SEBI, RBI, and Income Tax regulations applicable to AIFs and secondary share transfers. ● Portfolio Monitoring: Maintain records of completed deals, update fund models, monitor ESOP positions and cap table changes, and support internal reporting requirements. ● Fund Operations Support: Assist with LP reporting, SEBI filings, audit documentation, drawdowns, and 281 certificate tracking to ensure fund compliance and operational readiness. ● Cross-functional Liaison: Coordinate with Hissa’s product and operations teams to integrate transaction data into the equity management platform; communicate with company stakeholders, founders, and employee sellers. ● Presentation Preparation: Prepare PowerPoint presentations and decks for internal use, investor reporting, and due diligence findings. ● Investment Committee Presentation: Present transaction summaries, diligence findings, and valuation analysis to the Investment Committee, incorporating data, rationale, and risks. Requirements ● Deep understanding of Indian private markets, startup funding cycles, and ESOP structures ● Strong analytical skills with proficiency in financial modeling, valuation, and equity ownership structures ● Familiarity with company filings (MCA/ROC), cap tables, and secondary transaction documentation ● Excellent project management and organizational skills; ability to manage multiple transactions simultaneously ● High attention to detail and comfort working independently in a lean team Preferred Qualifications ● Experience working on ESOP buyback or secondary transactions ● Exposure to fund operations, SEBI AIF guidelines, or legal documentation (SPA, SHA, DoA) ● Familiarity with GSheets/Excel, Chatgpt and Perplexity ● CA/CFA/MBA (Finance) preferred but not mandatory
