• We have:

  A full-time Junior Associate to handle ROC filings and basic clerical work.

• We need You:

  To be the

  "Brain"

  behind the deal. You will handle the high-level legal architecture of our transactions.

Scope of Work (What you will do)

• Drafting, Vetting & Finalization:

  You will be responsible for the entire lifecycle of the agreement.

• Drafting:

  Create complex, custom agreements (SHA, SSA, Loan Agreements) from scratch where standard templates do not suffice.

• Vetting:

  Review drafts prepared by our junior team or counter-parties to ensure they are watertight.

• Finalization:

  Ensure every clause—from Indemnity to Exit Rights—is locked and legally enforceable before signature.

• FEMA & Cross-Border Advisory:

  You must be an expert in

  FEMA (Non-debt Instruments) Rules

  . You will oversee

  FC-GPR / FC-TRS filings

  and advise on structuring deals with NRI/Foreign investors.

• Risk Advisory:

  Identify and mitigate "Red Flag" risks in commercial terms (Liquidation preference, Anti-dilution, Tag-along/Drag-along rights).

• Negotiation Support:

  Join us on occasional high-level calls (approx. 2-3 per month) to negotiate legal terms directly with investors or their counsel.

Eligibility Criteria (You must meet ONE of the following)

We are looking for expertise, pedigree, or deep experience. You should ideally fit into one of these three profiles:

1. The Dual-Qualified Expert:

• Education:

  CS (Company Secretary) + LL.B

  .

• Experience:

  Minimum

  3 Years

  of post-qualification experience in Corporate/Transactional Law.

2. The Top-Tier Alumnus:

• Education:

  LL.B

  from a top-tier

  National Law University (NLU) or equivalent

• Experience:

  Minimum

  3 Years

  (preferably with exposure to Tier-1 Law Firms

3. The Seasoned Deal Closer:

• Education:

  LL.B

  from a recognized University.

• Experience:

  Minimum

  5+ Years

  of focused experience in Fundraising, M&A, and Deal Structuring (demonstrating deep expertise to compensate for a non-NLU/CS background).

• Independent Practitioners:

  You run your own practice and have the bandwidth for a steady, high-value retainer.

• FEMA Expert:

  You have hands-on experience with

  FDI/ODI transactions

  and cross-border structuring.

• Deal Closer:

  You have closed at least

  5-10 Fundraising Deals

  (Equity/Debt) in your career.
