Overview

Municipal Bond Subject Matter Expert (SME)/Consultant

Key Responsibilities

• Subject Matter Expertise & Guidance:

  Act as the primary internal and external expert on municipal bond structuring, primary offering documents (e.g., Preliminary Official Statements/Official Statements), and continuing disclosure requirements.

• Disclosure Review & Compliance:

• Review, analyze, and consult on

  Official Statements (OS)

  and other primary disclosure documents for new bond issuances, ensuring accuracy and adherence to SEC Rules (specifically Rule 15c2-12) and MSRB regulations.
• Advise on compliance with

  continuing disclosure undertakings

  , including the preparation and filing of annual reports and material event notices (Significant Event Notices) on the MSRB's EMMA system.

• Due Diligence Support:

  Assist in due diligence processes for bond offerings, working closely with legal counsel, underwriters, and issuers to vet information and documentation.

• Policy & Procedure Development:

  Assist in the development or refinement of internal policies, procedures, and training materials related to municipal bond disclosure and compliance best practices.

• Client Consultation:

  Provide expert consultation to clients (e.g., issuers, financial advisors, or underwriters) on complex municipal finance transactions, regulatory changes, and risk mitigation strategies.

Qualifications

• Education:

  Bachelor's degree in Finance, Economics, Accounting, or a related field. An advanced degree (e.g., MBA) or relevant professional certification (e.g., CFA, CPA) is preferred.

• Experience:

• Minimum of

  7+ years of experience

  in municipal finance, with a significant focus on bond counsel, municipal advisory, underwriting, or regulatory compliance roles.
• Proven, hands-on experience drafting, reviewing, and ensuring the compliance of

  Official Statements

  and

  Continuing Disclosure Annual Reports

  .

• Expert Knowledge:

  In-depth, current knowledge

  of municipal bond market practices, structures, federal and state securities laws, and regulatory frameworks, including the MSRB and SEC Rules.

• Technical Skills:

  Proficiency with municipal disclosure platforms, such as

  EMMA

  (Electronic Municipal Market Access), and financial data analysis tools.

• Consulting Skills:

  Excellent

  written and verbal communication

  skills, with the ability to translate complex regulations into clear, actionable advice for diverse stakeholders.

• Work Arrangement:

  Ability to reliably work

  20-30 hours per week

  on a flexible schedule and manage project deadlines effectively.
