Job Description

Role & responsibilities:

Draft, review, and negotiate private equity fund documents, investment agreements, shareholder agreements, and term sheets.
Provide legal support for deal structuring, due diligence, and transaction documentation for PE investments.
Ensure compliance with SEBI (AIF) Regulations, Companies Act, FEMA, and other relevant laws.
Liaise with external counsels, regulators, and transaction advisors for smooth execution of deals.
Handle legal aspects of portfolio monitoring, exits, and investor relations.
Conduct legal research on new regulations, circulars, and guidelines impacting private equity and AIF business.
Support internal teams (Investment, Compliance, Finance) with legal opinions and risk assessment.
Maintain proper documentation and records for investments, approvals, and legal correspondences.
