Job Description

Role Summary:

This role holder owns the legal strategy and day-to-day commercial contracting for a fast-growing GCC services business. You will build the contracting engine (playbooks, templates, CLM), lead redlines and negotiations with global counterparties, manage legal risk across the bid-to-cash lifecycle, and support scale (MSAs, SOWs, BOT models, DPAs, partner & vendor contracts, real estate/fit-out) while enabling speed and compliance.

Key Responsibilities:

  • Build/own contracting framework: templates, clause library, fallback playbooks, approval matrices.
  • Work in a lean team with the help of external legal counsels.
  • Lead drafting, review, and negotiation of: MSAs, SOWs, BOT/Build-Operate agreements, SLAs, NDAs, Data Processing, IP/licensing terms, partner/subcontractor agreements, RFP/RFQ T&Cs, procurement T&Cs.
  • Balance speed vs. risk; drive win-themes on liability, indemnity, IP ownership, confidentiality, termination, governing law, non-solicit, audit, and service credits.
  • Frontline negotiations with US/EU/APAC counsels; enable Sales/Solutions with bid exception management and contract summaries (one-page deal briefs).
  • Ensure contract clauses align with ISO 27001/27701, CERT-In incident expectations, business continuity, and subcontractor flow-downs.
  • Standardize staff augmentation/partner contracts (background checks, IP assignment, non-poach, rate cards, SoD with client's policies).
  • Review employment templates and consulting agreements for legal hygiene.
  • Support CRE/Facilities/IT on LOIs, leases, fit-out, AMC, and managed services contracts.
  • Set up a Contract Review Board, maintain CLM hygiene (Icertis/Ironclad/Zoho Contracts or equivalent), and legal records retention.
  • Manage pre-litigation strategy, notices, mediation/arbitration; coordinate external counsel panels .

Candidate Profile:

  • Education:

    LL.B (required); LL.M preferred; enrolled with a State Bar.
  • Experience:

    8-s12 years in commercial contracting within tech/outsourcing/GBS/GCC/consulting or product engineering services; proven lead on US/EU negotiations. (Please include law firms)
  • Depth in:

    MSAs/SOWs, DPAs/privacy, IP & licensing, liability/indemnity constructs, partner/subcontractor frameworks, procurement, and (nice-to-have) real-estate/fit-out contracts.
  • Nice-to-have:

    Familiarity with India GCC operating nuances (talent, security, site/CRE), BOT models, and transition/ramp constructs.
