Job Description

Key Responsibilities

Company Secretarial Duties

  • Corporate Governance:

    Ensure compliance with corporate governance standards, prepare agendas, and manage minutes for board and committee meetings.
  • Regulatory Filings:

    Handle all company filings, including annual returns, financial statements, and other statutory submissions with the Registrar of Companies (RoC).
  • Board Support:

    Facilitate board meetings and general meetings, including drafting resolutions, managing proxy voting, and preparing board packs.
  • Stakeholder Communication:

    Act as the primary point of contact for internal and external stakeholders regarding compliance and governance-related queries.

Legal Duties

  • Contract Management:

    Draft, review, and negotiate contracts, MOUs, and other legal documents with vendors, clients, and third parties.
  • Regulatory Compliance:

    Ensure compliance with legal and regulatory requirements, including those related to corporate, labor, and tax laws.
  • Risk Mitigation:

    Provide legal guidance on various business matters to mitigate risks and ensure compliance with applicable laws.
  • Litigation Management:

    Handle and manage any legal disputes or litigation, coordinate with external counsels, and represent the company in court if required.
  • Legal Advisory:

    Advise management on legal implications of company activities, ensure policies align with legal standards, and support with mergers and acquisitions as needed.

Skills and Competencies

  • In-depth knowledge of corporate laws, SEBI regulations, company law, labor laws, and contract law.
  • Proven experience in corporate governance, regulatory compliance, and handling statutory filings.
  • Strong drafting, negotiation, and legal research skills.
  • Excellent communication and interpersonal skills for managing cross-functional teams and external stakeholders.
  • Ability to prioritize tasks, manage multiple assignments, and work under tight deadlines.

Preferred Qualifications

  • Prior experience in the manufacturing or related industry.
  • Knowledge of corporate restructuring, M&A, and related corporate actions.
  • Proficiency in legal research tools and company secretarial software.
