SucSEED Indovation Fund is an early-stage focused SEBI-registered Category-1 Fund with a corpus of INR 200 Crore and a portfolio of more than 60 companies across various sectors. SucSEED has set up a Growth Fund at GIFT City under the IFSCA regime.
About The Position
SucSEED is seeking a proactive, organized, and experienced lead for the role of Transactions and Compliance with excellent organizational, technical and management skills to support the funds. The candidate will be based out of GIFT City, Gandhinagar / Ahmedabad. We are looking for a highly motivated, tech-savvy, hands-on manager who takes initiative and flourishes in a fast-paced, dynamic environment.Job Location: GIFT City, Ahmedabad Gandhinagar Area, Gujarat, IndiaKey Responsibilities
- Set up and own the entire compliance and risk management framework for the GIFT City fund from the ground up including systems, processes, and documentation infrastructure.
- Take full ownership of end-to-end regulatory compliance under IFSCA, SEBI (AIF), and SEZ frameworks including registrations, periodic filings, renewals, audits, and ongoing disclosures.
- Act as the single point of contact for all fund compliance and transaction-related matters coordinating with trustees, regulators, fund managers, auditors, and legal partners.
- Independently track, interpret, and implement regulatory updates impacting fund operations; proactively design internal controls and SOPs to ensure timely adherence.
- Lead, handle, manage and deliver end-to-end investment transaction execution from pre-investment due diligence and internal approval documentation to drafting, reviewing, and coordinating definitive agreements with legal teams.
- Manage deal closures from legal perspective oversee capital calls, deal negotiation, fund flows, share subscription processes, filings (FIRC, FCGPR, SH7, PAS-3, etc.), and maintain complete transaction trails.
- Liaise directly with founders, portfolio companies, legal counsels, and trustees to ensure timely completion of investment and exit formalities (including share transfers, exits, and redemptions).
- Develop and operationalize a comprehensive Risk Management Framework aligned with the Fund's investment strategy and regulatory thresholds.
- Prepare, validate, and submit all statutory filings and reports (IFSCA, SEBI, GIFT SEZ, RBI, AMCs, Trustees, etc.) accurately and within deadlines.
- Draft and maintain Scheme Information Documents (SIDs) and Statements of Additional Information (SAIs), ensuring alignment with evolving regulatory and fund requirements.
- Build internal dashboards and compliance trackers to provide real-time visibility into filings, renewals, and regulatory touchpoints.
- Identify gaps, propose process improvements, and institutionalize best practices for compliance governance and risk monitoring.
Essential Requirements
- Minimum 3 and upto 5 years prior experience in a compliance role with a SEBI-registered AIF / fund manager, portfolio manager, investment advisor, or in the Listed Entity doing legal and company secretary role. NO DEVIATIONS accepted.
- Professional qualification: Candidate should be a member of the Institute of Company Secretaries of India (ICSI), preferably in combination with Chartered Accountant (CA) or a law degree from an Indian institution.
- Experience handling compliance for a Fund or a listed company for a minimum of 3 years.
- Strongly tech-oriented: ability to work with SaaS tools, Google Docs, and collaboration platforms to read, review, and manage documents online.
Desired Skills
- Strong drafting and documentation skills with a clear understanding of AIF structures, fund operations, and investment processes.
- Prior experience in financial services, fund management, or venture capital operations ideally in a setup where you've built or managed compliance and transaction workflows end-to-end.
- Excellent stakeholder management comfortable engaging with founders, lawyers, trustees, auditors, and regulators directly.
- Proven ability to operate independently in dynamic, fast-paced environments and drive multiple priorities with limited supervision.
- Exceptional written and verbal communication skills; fluency in English is essential, Hindi proficiency is an advantage.
- High sense of ownership, ambition, and attention to detail with the ability to work under pressure and deliver with precision.

Mode of Work
Hybrid with onsite reporting at GIFT City, Gandhinagar / Ahmedabad. This is primarily an on-site role with a regular presence expected at the office. Occasional travel to the head office in Hyderabad and to portfolio locations will be required. Any flexibility for remote work will be considered on a case-by-case basis and must align with the Fund's operational needs.What You Get in Return
